Purpose of the Agreement
The Company is hiring the Contractor to provide specific services as outlined in this Agreement. The Contractor agrees to perform these services according to the terms described below.
Services
The Contractor (photographer) shall provide the Company with the services stated in the "Associate Contract" email sent with this contract. As part of these services, the photographer will use their skills and equipment to capture the images. After the event, the Contractor (photographer) will deliver the RAW files to the Company, and the Company will handle all editing and final delivery to the couple.
Travel and Accommodations
If the event is located outside the state of Florida, the Company agrees to cover all travel-related expenses for the Contractor (photographer), including but not limited to:

Roundtrip flights for the Contractor (photographer) to and from the event location.

Accommodation costs (typically a shared hotel, Airbnb, etc.) for the Contractor (photographer) for the duration of the event.
The Company will discuss and finalize travel arrangements with the Contractor (photographer) at least one month before the event date.
Role for Out-of-State Weddings
When the event is outside of Florida, the Contractor (photographer) agrees to assist in setting up the ceremony site, including any logistical support and coordination with other vendors involved in the event. This includes the preparation of the ceremony area and other tasks related to the success of the event.
Confidentiality
Both parties agree to keep all information related to this Agreement, the services, and their businesses confidential. This includes any sensitive data, such as intellectual property, financial details, strategies, and customer information. Confidential information cannot be shared or used outside of this Agreement.
Exceptions: Confidentiality does not apply to information that:

Was known before the agreement.

Becomes public through no fault of either party.

Is received from a third party with no confidentiality obligation.

Is independently developed without using confidential information.
Social Media and Website Sharing
Contractor (photographer) may edit and share photos or videos from the event for their portfolio, social media, or website, but only after six months from the wedding date. When sharing this content:

Tagging the couple is not permitted.

Credit must be given to the Company by tagging and naming the Company in captions or posts where applicable.
Failure to comply with these terms will be considered a breach of this Agreement.
Ownership and Usage Rights
All rights to the images and videos produced under this Agreement are retained exclusively by the Company. The Company is responsible for editing, modifying, and delivering the final images to the couple. The Contractor (photographer) does not retain ownership rights to the RAW or edited images and may only use them according to the terms outlined in the Social Media and Website Sharing section of this Agreement.
Any use of the images or videos by the Contractor (photographer) outside of the agreed-upon terms will be considered a breach of this Agreement.
Independent Contractor Relationship
The Contractor (photographer) is not an employee, partner, or member of the Company. The Contractor controls how the work is done and may hire assistants or subcontractors. Both parties are responsible for their own expenses, taxes, and legal requirements.
Clients
Clients and potential clients obtained through the Company's efforts are considered the Company's property. The Contractor (photographer) must:

Treat all client information as confidential.

Represent themselves as a Company representative when interacting with clients. The Contractor (photographer) cannot use client or company information for personal gain. Breaching this clause allows the Company to terminate this Agreement and take legal action.
Liability Limitations
The maximum amount the Company can claim for damages related to this Agreement is limited to the Contractor's (photographer) total fees.
Indemnification
The Company agrees to protect and hold the Contractor (photographer) harmless from claims, damages, or liabilities arising from the services provided.
Risk Assumption
The Company accepts all risks associated with the services and related activities.
Non-Disparagement
Both parties agree not to make negative public statements that could harm the other’s reputation or business.
Cancellations and Rescheduling (Including Travel Events)
If the Contractor (photographer) Cancels:
The Contractor (photographer) will notify the Company immediately and either:

Find a suitable replacement.

Offer a refund or credit proportional to the work completed.
If the Contractor (photographer) cancels or is unable to attend the wedding, the Contractor (photographer) agrees to reimburse the Company for the full cost of any non-refundable flights booked for the event.
Force Majeure
Neither party is responsible for delays or cancellations caused by uncontrollable events like natural disasters, war, pandemics, or acts of terrorism. If such events occur, the Company and Contractor (photographer) will reschedule the event within six months at no additional charge.
Governing Law
The laws of Florida govern all matters arising under or relating to this Agreement, including torts.
Notice
Both parties can send notices, including invoices or payments, using the agreed methods of delivery.
Severability
If any portion of this Agreement is deemed to be illegal or unenforceable, the remaining provisions of this Agreement remain in full force, if the essential provisions of this Agreement for each party remain legal and enforceable.
Amendments
Changes to this Agreement must be made in writing and agreed upon by both parties.
Assignments
Neither party can transfer their rights or responsibilities under this Agreement without written notice, unless otherwise allowed.
